Innovative food & beverage brand expanding nationally.

Contextual Background
National scale required rigorous regulatory adherence, standardizing co-manufacturing agreements, and building a preemptive product recall strategy to avoid FSSAI penalties.
Strategic Complexity
The mandate required navigating the complex regulatory landscape of the Food Safety and Standards Act (FSSAI) during a period of aggressive national expansion. The primary challenge was the structural alignment of multi-state co-manufacturing (co-packer) facilities with the brand’s core quality and labeling standards. For a brand scaling rapidly, ensuring that every SKU artwork—across hundreds of unique labels—complied with the evolving FSSAI (Labelling and Display) Regulations was critical to avoid nationwide seizures. Furthermore, as the business moved into high-volume modern trade and general trade channels, the legal architecture had to address the "Recall and Incident Response" protocols, which are historically under-designed in the Indian FMCG sector. The complexity was amplified by the need to substantiate nutritional and wellness claims to satisfy both FSSAI scrutiny and Advertising Standards (ASCI) benchmarks.

Key regulatory, commercial, and execution issues addressed during the mandate.
CELA Mandate
Acting as FMCG Expansion Counsel, CELA functioned as the architect of the brand’s regulatory and commercial framework from inception. We moved beyond drafting manufacturing contracts to become strategic designers of the product’s compliance logic. Our role was to provide the "regulatory foresight" required to navigate an evolving FSSAI landscape, ensuring that the brand’s contractual stack was resilient to future shifts in food safety and labeling laws.
Execution Strategy
01
FSSAI Regulatory Engineering
We conducted a comprehensive audit of the brand’s entire SKU portfolio, ensuring that labels, nutritional panels, and marketing claims were in absolute alignment with FSSAI mandates. This involved the systematic removal of "unsubstantiated health claims" and the implementation of mandatory allergen and statutory warnings, effectively de-risking the brand from regulatory "Stop Sale" notices.
02
Co-Manufacturer & Quality Governance
We designed a robust "Co-Manufacturing & Supply Agreement" stack that shifted material quality-control and batch-tracking liabilities explicitly to the manufacturing partners. This architecture included "right-to-audit" provisions and stringent indemnity holdbacks, ensuring that any regulatory failure at the production level did not dilute the parent brand’s legal standing or valuation.
03
Distribution & Channel Protection
We structured a national distribution framework comprising exclusive CFA (Carrying and Forwarding Agent) and distributor agreements. These contracts were engineered to protect the brand’s pricing hygiene and territory rights while ensuring that "product liability" risks were appropriately capped as goods moved through the multi-tier Indian supply chain.
04
Product Safety & Recall Protocol
In a first-of-its-kind build for the client, we established a legally sound, stress-tested "Product Recall" protocol. This framework defined the internal triggers, regulatory notification timelines, and public communication strategy required to manage a safety incident without triggering a complete brand collapse or permanent regulatory de-licensing.
Quantifiable Outcomes
100%
Compliance
Labels and claims cleared across the entire SKU portfolio.

Retail Network
National scale achieved via robust distribution contracts.
Zero
Recalls
Due to preemptive screening and batch-tracking governance.
The brand successfully scaled to thousands of retail touchpoints nationally with a robust regulatory trace. By providing a de-risked product foundation and a clean compliance trace, we allowed the business to secure institutional investment at a premium, as the "regulatory risk" was perceived as a managed, structural advantage.
Strategic Impact
This consumer-goods case study shows that in the food sector, legal hygiene and supply-chain governance are the primary determinants of brand longevity and valuation.
