The mandate required navigating the complex regulatory environment of the SEBI (Alternative Investment Funds) Regulations, 2012, within a "Thematic" investment thesis. The primary challenge was the structural design of the "Sponsor-Manager" architecture to ensure 100% compliance with SEBI’s "Net Worth" and "Continuing Interest" mandates. For a fund targeting real-assets, this involved drafting a multi-dimensional Private Placement Memorandum (PPM) that satisfied the regulator’s "standardised template" while providing institutional-grade disclosures on sector-specific risks.
